CONSTITUTION OF THE BLUE MOON DIVE CLUB (as of 16 May 2008) Preamble
The purpose of the Bottom Dwellers Dive Club, shall be to provide activities, training programs, fellowship and information related to the sport of skin and scuba diving to persons concerned with underwater conservation and safety.
Article 1 – Officers
Section 1. Officers. The Executive Officers are: President, Vice-President and Secretary-Treasurer. Officers shall be elected by a majority of those members present at an annual election meeting to be held in December, Officers shall be installed in January the following year and shall hold office for one year, or until their successors are elected. Officers shall serve without pay. Should the office of President become vacant, the Vice- President shall assume this position. Should any other elected office become vacant, it shall be filled temporarily by appointment by a majority of the remaining executive board members and the appointee shall fulfill the duties of the office until such time as a new officer can be elected in accordance with this constitution and by-laws.
Section 2. Executive Officers and Their Duties. The elected officers must be at least 21 years old and members of the club in good standing. Executive officers may be removed for cause in accordance with Section 3, Member Dismissal of the By-Laws.
a. President: The president shall officiate at the regular monthly club meetings and shall call any necessary special meetings and shall appoint such committees as are necessary for the proper functioning of the club. The president will further act on the club’s behalf between meetings, subject to the approval of the club. The president will vote only to break a tie at the regular monthly meetings.
b. Vice-President: The vice-president shall act for the president and discharge the duties of the president whenever the president is unable and shall be responsible for taking membership applications. The vice-president shall officiate at all meetings of the executive board and act as club parliamentarian. The vice-president will vote only to break a tie at the executive board meetings.
c. Secretary- Treasurer: The secretary- treasurer shall maintain minutes of all club and executive board meetings and correspondence. The secretary-treasurer will further handle such correspondence as the club directs. The secretary-treasurer shall maintain the club web page with current information and publish a quarterly membership roster which will be available to all members in good standing. The secretary-treasurer shall receive all finds due to the club and disburse all funds as authorized. The secretary-treasurer shall maintain an accurate and current accounting of all funds and financial records and shall keep full and accurate reports of disbursements and render account thereof at each club meeting. All disbursements over $50.00 shall be approved by the executive board. The secretary-treasurer shall present an annual report to the membership at the December meeting. In the vice-president’s absence the secretary-treasurer shall accept membership applications.
Section 3. Executive Board. The executive board shall consist of the currently elected officers, all the standing committees’ officers as appointed by the president and all past elected officers from the previous year.
Article II – Membership
Membership in the club is open to anyone indicating a willingness to learn and abide by the club’s constitution, by-laws, safety standards and who is sponsored by a club member in good standing.
An individual shall be admitted to membership when he pays the dues as prescribed in the by-laws and his application receives approval by 2/3 vote of those members present at a regular monthly meeting, and other submitted votes as described in Article III.
Article III – Voting
All votes shall be made in writing by hand, or electronically, with the latest vote being the binding vote of that person.
Article IV – Amendments
This constitution may be amended by 3/4 vote of those members present at a special meeting, notice of which shall be posted on the club web site at least three weeks in advance.
Article V - By-Laws
By-laws to this constitution shall be enacted or amended by 3/4 vote of those members present at a special meeting, and other submitted votes as described in Article III. Notice of the special meeting along with the proposed change(s) shall be posted on the club web site at least three weeks in advance.
Article VI – Submission of petition to change this constitution or by-laws
All petitions to change this constitution or by-laws will be submitted in writing or electronically to the President, Vice-President and Secretary-Treasurer for review by the executive Board and then published as outlined in article V. |
