BY-LAWS OF THE

BLUE MOON DIVE CLUB

(as of 16 May 16, 2008)

 

1 Membership, Membership fees and policy

 

a. A member has the privilege to participate in club functions such as, but not limited to, dive trips, raffles, picnics, parties, web page and use of club name and affiliation.

 

b. Annual dues shall be established by the Executive Board and payment of the dues shall be made at the first monthly meeting in January each year. Annual dues for new members shall be prorated by month.

Any member whose dues are in arrears shall have no membership privileges or benefits, and will not be considered a member in good standing.

 

c. Any member whose dues are in arrears for a period of two months shall be dropped from the rolls of this club. In order for a member, whose dues are in arrears for twelve months or less to be reinstated, he must pay all past dues. A member whose dues are in arrears for more than twelve months must submit a new membership application for consideration as a new member. Any club member transferred from the area has the option to renew his membership without having to pay past dues. Special consideration will be given to any member applying to the Executive Board for special suspension of the rule to pay back dues with regard to professional obligations or responsibilities.

 

2. Dependent Members

 

Dependents (as defined by IRS) of regular members in good standing shall be entitled to regular membership privileges upon payment of dues.

 

3. Member Dismissal

 

a. Persons may be removed from the membership rolls of the club for flagrant violation of club safety regulations and for conduct bringing discredit upon the club. Dismissal from the club shall be by 2/3 vote of members present at a regular monthly meeting. Said persons shall have the right of redress with the Executive Board prior to the club vote and shall be given written notification of the intended action. Prior to the club vote, the persons will be allowed fifteen minutes to provide their response to the intended dismissal vote.

 

b. Persons may be removed from the membership rolls by the Executive Board for failure to pay individual financial commitments made to the club. See Club Dive Policy.

 

 

 

4. Officers of Standing Committees and Their Duties

 

All Standing Committee Officers serve at the pleasure of the President.

 

a. Dive Coordinator: The dive coordinator shall schedule and coordinate club dives during the calendar year. The dive coordinator shall provide a divemaster for immediate control at all club sponsored dives. He/she shall be empowered to effect boat charters on behalf of the club and enforce club safety standards. In the absence of an appointed dive coordinator, the president, or their appointee shall perform these duties.

 

b. Safety Officer: The safety officer shall chair the safety committee. This committee shall develop, publish and enforce safety standards as outlined by the club dive policy. Further, responsibility shall include safety control for club dives. In the absence of an appointed safety officer, the vice-president, or presidential appointee shall perform these duties.

 

c. Training Officer: The training officer shall chair the training committee. This committee shall be responsible for the establishment and management of the training and certification programs. In the absence of a training officer, the secretary-treasurer, or presidential appointee shall perform these duties.

 

d. Program Officer: The program officer shall be responsible for the coordination of programs to meet the special interest of the club members. Specific task shall include hospitality and program planning. In the absence of a program officer, the vice-president, or presidential appointee shall perform these duties.

 

5. Duties of the Executive Board

 

a. The board shall be responsible for the administration of the club and shall supervise the work of the committees. The board shall continually review the policy and programs and shall make recommendations for such changes and modifications as it deems necessary. The board may also recommend purchases, initiations of action, and enactment of policy.

 

b. A majority of the executive board shall constitute a quorum. Executive board meetings shall be open to all club members in good standing who desire to attend.

 

6. Annual Election of Executive Officers

 

a.       At the October regular meeting the president will open the floor to nominations for the executive officers election in December. Members desiring to run for office can continue to be nominated up to the December regular meeting. Nominations shall be posted on the web page for the months of October and November. Ballots will be distributed at the December regular meeting and write-in candidates will be accepted.

 

b. Every current member in good standing will have one vote. If members are unable to attend the December regular meeting a written proxy vote will be accepted. Written proxy includes handwritten and electronic communications, Proxy votes must be signed by the club member - signature for e-mail will be based upon address listed in most recent club roster.

 

7. Non-covered procedures

 

The final authority for any procedural matters not covered by the Constitution, By-laws, or enacted procedures of the club shall be the latest edition of Robert’s Rules of Order (Newly Revised).

 

8. Dissolution

 

Upon dissolution of the club all assets shall be liquidated. Sixty days prior to dissolution of the club, the executive board shall generate a minimum of three (3) suggestions for distribution of the funds. All club members in good standing will be given 30 days notification via the club web page regarding club dissolution, and a 3/4 vote of all members in good standing present at that meeting will decide the distribution of the funds.
